Terms of Service

1. Acceptance of Terms

By accessing or using the Frontier App Labs website ("Site") or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Our Services

Frontier App Labs provides custom software development, AI integration, intelligent automation, and related technology consulting services. Our services include but are not limited to:

• Custom web and mobile application development
• AI-powered chatbots and virtual assistants
• Workflow automation and process optimization
• Enterprise AI system design and implementation
• Technology consulting and discovery sessions

The specific scope, deliverables, timelines, and pricing for any project will be outlined in a separate Statement of Work (SOW) or service agreement between Frontier App Labs and the client.

3. Consultations & Engagements

We offer free discovery consultations to prospective clients. These sessions are informational and do not create a binding obligation for either party. A formal engagement begins only when both parties sign a written service agreement or SOW.

During consultations, any ideas, strategies, or recommendations shared by Frontier App Labs are provided in good faith for informational purposes and remain our intellectual property until a formal engagement is established.

4. Intellectual Property

Our IP

The Frontier App Labs website, brand, logo, mascot, content, and all proprietary tools, frameworks, and methodologies are the exclusive property of Frontier App Labs and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

Client Deliverables

Unless otherwise specified in a project agreement:

• Upon full payment, clients receive ownership of custom code, designs, and assets created specifically for their project.
• Frontier App Labs retains ownership of any pre-existing tools, libraries, frameworks, or methodologies used in the development process.
• Frontier App Labs reserves the right to reuse general techniques, knowledge, and non-proprietary code patterns across projects.

Open Source Components

Our solutions may incorporate open-source software components, which are subject to their respective licenses. We will provide documentation of any open-source components used in your project upon request.

5. Payment Terms

• Payment terms, schedules, and methods will be specified in your service agreement or SOW.
• Recurring service plans are billed monthly unless otherwise agreed upon.
• Invoices are due within 15 days of issuance unless alternative terms are arranged.
• Late payments may incur a fee of 1.5% per month on the outstanding balance.
• We reserve the right to suspend services for accounts with overdue balances exceeding 30 days.

6. Client Obligations

To ensure successful delivery of our services, clients agree to:

• Provide timely access to necessary information, systems, and resources as required for the project.
• Designate a primary point of contact for project communications.
• Provide timely feedback and approvals during review stages.
• Ensure that all materials provided to us (content, images, data) do not infringe on third-party rights.
• Maintain the confidentiality of any login credentials or access we provide.

Delays caused by the client's failure to meet these obligations may result in adjusted timelines and additional costs.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes but is not limited to business strategies, technical architectures, trade secrets, and client data.

Confidentiality obligations survive termination of the service agreement for a period of 2 years, unless the information becomes publicly available through no fault of the receiving party.

8. Warranties & Disclaimers

Frontier App Labs will perform services with reasonable care and skill consistent with industry standards. However:

• Our website and its content are provided "as is" and "as available" without warranties of any kind, express or implied.
• We do not guarantee that our website will be uninterrupted, error-free, or free of harmful components.
• While we strive for excellence, we cannot guarantee specific business outcomes, revenue increases, or efficiency gains from our AI solutions, as results depend on many factors outside our control.
• AI-powered solutions involve emerging technologies that may behave unpredictably. We will use best practices to mitigate risks but cannot guarantee perfection.

9. Limitation of Liability

To the maximum extent permitted by law:

• Frontier App Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Our total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client to Frontier App Labs in the 12 months preceding the claim.
• We are not liable for damages resulting from the client's misuse of deliverables, unauthorized modifications, or failure to maintain systems.

10. Indemnification

You agree to indemnify and hold harmless Frontier App Labs, its founders, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of our website or services
• Your violation of these Terms
• Your violation of any third-party rights
• Content or materials you provide to us for use in deliverables

11. Termination

Either party may terminate a service engagement as specified in the applicable service agreement. In the absence of specific termination provisions:

• Either party may terminate with 30 days' written notice.
• We may terminate immediately if the client breaches these Terms or the service agreement.
• Upon termination, the client is responsible for payment for all work completed up to the termination date.
• We will provide reasonable assistance in transitioning deliverables upon termination.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Michigan.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify active clients.
